Property and non-property risks in the Russian corporate governance system

Introduction. Corporations today are the basis of any state’s economy, and within the framework of corporate governance, key strategic decisions are made that determine the fate of corporations. Accordingly, the problem of corporate governance risk management is one of the key economic problems, as it affects the interests of not only the participants of corporate relations, but also a huge number of economic agents. Theoretical analysis. The article presents the views of Russian scientists on the characteristics and classification of corporate governance risks, defines the property and non-property risks of corporate governance, considers the causes of their occurrence, as well as the mechanisms of influence on the corporation, its participants, creditors, public law entities. Also, a distinction is made between the objectively existing normal business risk and the predominantly subjective risks of corporate governance. Empirical analysis. Based on statistical data on bringing controlling persons to subsidiary liability, it is shown that the number of bankruptcies of Russian companies due to the manifestation of corporate governance risks is steadily growing. Results. The author’s typology of corporate governance risks, characterized by their relationship and interdependence is developed. Property and non-property risks of corporate governance are identified, the impact of which on the activities of Russian corporations is currently the most significant. Among them are those to which it is possible to adapt in the modern conditions of doing business. It is concluded that in the process of managing corporate risks based on the use of corporate law institutions existing in Russia and their combinations, it is impossible to nullify completely the occurrence and manifestation of the risks in question. Nevertheless, to ensure the necessary mutual control of the corporate relations subjects, limiting their ability to act in bad faith and unreasonably to the detriment of the company, is quite an achievable task.

Management of Innovative Risks in Agrarian and Industrial Complex

The author’s approach to a problem of management by innovative risks in agrarian and industrial complex is developed. Classification of risks of innovative projects in agrarian and industrial complex is presented, actions for risk management at stages of development and implementation of the innovative project Are offered. The directions of formation of a control system by risks of innovative projects in agrarian and industrial complex depending on stages risk – the management, representing algorithm of consecutive actions from risk identification before control of efficiency of carried-out actions are developed.

Organization of Regulatory Risk Management in Commercial Bank

Introduction. The absence of Russian corporate practice on the formation of a unified concept of internal control of commercial bank and methodological support of regulatory risk management process determines the relevance of the theory and methodology of approaches to the organization of internal control and management of regulatory risk in a business bank. Theoretical analysis. Regulatory risks are manifested with the emergence of the statutory or other regulatory legal act of direct or indirect exposure to the possibility of limiting the part of state bodies on the business processes of a commercial bank. Organization of management of the commercial bank regulatory risk consists in the activities of officials and divisions of companies, aimed at preventing and reducing the likelihood of regulatory risks, creating a comfortable legal environment for doing business. Empirical analysis. For the implementation of internal controls and facilitating the bank’s management bodies in ensuring its effective functioning, growth and development created the Internal Control as an element of internal control of commercial bank. Results. The vast majority of heads of departments recognize the usefulness and necessity of the implementation of measures to control the organization of regulatory risk, and is of particular importance not only to obtain regulatory risk level values expressed by a specific number, as the formation of the regulatory activity of the platform unit.

Risks of Commercial Banks: the Regional Aspect of the Example Saratov Region

Introduction. Modern Russian banking system is going through a difficult period of reform and global change. Status of the Russian banking system reflects the general state of the economy and the financial sector of the country and the world. It is characterized by low immunity to numerous, including systemic risk, low maneuverability in a high level of uncertainty. All these factors reduce the functional capacity of the Russian banking system as a whole. Theoretical analysis. Risk management – a process consisting of five steps: risk identification, assessment and analysis, decision making, maximizing the positive and minimizing the negative consequences, monitoring, promoting a culture of risk management in the company. Empirical analysis. The position of regional commercial banks in the Saratov region in a difficult economic situation, however, is complicated by the high risk of external and internal environment. For the development and expansion of possibilities of lending to small and medium-sized enterprises must be at the federal level to facilitate regional commercial banks to access credit refinancing. One of the concrete actions can be a reference to federal regulators to allow banks to hold assets in a regional repository. Results. Further updating of risk categories allowed to evaluate and present ranked critical risks that are typical for the activities of the regional commercial bank.
